1. Agreement to Terms

By accessing or using the website located at diagnosticsupportservices.com (the “Site”) and any services provided by Diagnostic Support Services, LLC (“DS2,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not access or use the Site or our services.

2. Description of Services

DS2 provides diagnostic support services to healthcare organizations, including but not limited to custom kitting and distribution, medical courier and logistics services, phlebotomy and specimen collection, technology integration and interfacing, and related consulting and support services. The specific scope of services provided to any client is governed by a separate service agreement between DS2 and the client.

3. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
• Use the Site to transmit or send unsolicited commercial communications
• Attempt to gain unauthorized access to any part of the Site, server, or any system or network connected to the Site
• Use any automated system, including robots, spiders, or scrapers, to access the Site for any purpose without our express written permission
• Introduce any viruses, trojan horses, worms, or other harmful material to the Site
• Interfere with or disrupt the integrity or performance of the Site

4. Intellectual Property

The Site and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, icons, images, audio clips, data compilations, software, and the design, selection, and arrangement thereof — are owned by DS2, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The DS2 name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of DS2 or its affiliates. You must not use such marks without the prior written permission of DS2.

5. User Submissions

Any information, materials, or content you submit through the Site — including through contact forms, quote request forms, or any other submission mechanism — is considered non-confidential and non-proprietary unless a separate confidentiality agreement exists between you and DS2. By submitting information through the Site, you grant DS2 the right to use such information for the purpose of responding to your inquiry and providing our services.

6. Client Portal

Access to the DS2 client portal (LNK2DS2) is restricted to authorized users with valid credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify DS2 immediately of any unauthorized use of your account or any other breach of security.

7. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by DS2. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that DS2 shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party websites or services.

8. Disclaimer of Warranties

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DS2 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

DS2 does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. The information provided on the Site is for general informational purposes only and does not constitute medical, legal, or professional advice.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DS2, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ANY SERVICES PROVIDED BY DS2 THROUGH THE SITE.

10. Indemnification

You agree to defend, indemnify, and hold harmless DS2, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

11. HIPAA and Protected Health Information

DS2 is committed to protecting the privacy and security of protected health information (PHI) in accordance with the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations. The handling of PHI is governed by separate Business Associate Agreements between DS2 and its clients, not by these Terms. Do not submit PHI through the general contact forms on this Site.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts located in DuPage County, Illinois, and you consent to the personal jurisdiction of such courts.

13. Changes to These Terms

DS2 reserves the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on the Site with a revised “Last updated” date. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements, constitute the sole and entire agreement between you and DS2 regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties regarding the Site.
